These Terms of Service govern the provision and use of SkyStruct Lite, SkyStruct Pro and the related services identified in an accepted order. The provider is SkyStruct QSTP-LLC, Qatar Science & Technology Park, Doha, Qatar (SkyStruct, we, us or our). The person or organisation purchasing the services is the Customer (you or your).
1. Agreement and acceptance
1.1 You enter into an agreement with SkyStruct by signing an order that incorporates these Terms, accepting them through an electronic subscription process, or otherwise expressly agreeing to them in writing. An individual acting for an organisation confirms authority to bind that organisation. Simply browsing our website does not create a paid subscription.
1.2 The agreement comprises the accepted order or statement of work (Order), these Terms, the Subscription and Cancellation Policy, any agreed service-level agreement (SLA), and the Data Processing Addendum (DPA) where we process personal data on your behalf. An Order identifies the purchased service, quantities, subscription period, deployment arrangements and any implementation deliverables. We will provide an electronic confirmation of an accepted online order and access to the applicable contract terms.
1.3 Mandatory law and any applicable, executed international data-transfer clauses prevail. The DPA prevails on personal-data processing; an expressly agreed SLA prevails on service levels; and a separately signed agreement or Order prevails over these Terms to the extent it expressly addresses the relevant conflict. The Subscription and Cancellation Policy explains these Terms and does not reduce rights under them. Marketing pages do not vary an agreed contract.
1.4 A reseller's payment and implementation obligations are governed by its agreement with you. These Terms bind you and SkyStruct only where incorporated into an agreement between us or accepted by you for access to our service. Reseller branding alone does not create additional SkyStruct obligations or authorise access to your project records.
2. Services and licensed use
2.1 During the subscription period, and subject to the agreed licence limits, SkyStruct grants you a non-exclusive, non-transferable right to use the purchased service for your business or personal construction-project activities. You may invite authorised project participants within those limits. Ownership of the software, source code or underlying technology is not transferred.
2.2 Functionality depends on the product, release, configuration and scope purchased. Demonstrations, prototypes, beta features and roadmap statements are not commitments to deliver unpurchased or unreleased functionality. A delivery obligation exists only where expressly included in an Order. We will not materially reduce the core contracted functionality during a paid subscription term without an appropriate replacement or an agreed remedy.
2.3 Configuration, migration, training, integrations and custom development are included only to the extent stated in an Order. Scope changes require written agreement. Customer dependencies, acceptance criteria and milestone dates must be recorded in the applicable statement of work; silence alone does not constitute acceptance unless an expressly agreed acceptance process provides otherwise.
2.4 On-premises or customer-managed deployment is available only by written agreement. The responsibility for infrastructure, operating systems, networks, recovery and application support must be specified. An on-premises deployment does not create a perpetual licence or source-code entitlement unless expressly agreed.
3. Accounts, administrators and project participants
3.1 Account holders must be at least 18 years old, or the applicable age of legal majority if higher. Account information must be accurate and kept current. Each person must use individually assigned credentials. Concurrent licensing, where purchased, does not authorise shared identities or passwords.
3.2 You appoint your administrators and control whom they invite, the permissions granted and the information shared. You must review access when employment, appointments or project responsibilities change and promptly disable access that is no longer authorised. Your responsibilities do not excuse a failure of security controls for which SkyStruct is responsible.
3.3 Keep credentials confidential, secure the devices used to access the service, and notify us promptly of suspected compromise. You are responsible for the conduct of users you authorise, subject to applicable law. A contractor, consultant or other participant retains any rights it independently holds in its materials; an administrator's access rights do not determine ownership of those materials.
4. Acceptable use and restricted information
4.1 You must not use the service for unlawful activity; infringe intellectual-property, privacy or confidentiality rights; introduce malicious code; harass others; distribute unsolicited marketing; bypass licence or security controls; or access information without authority. Do not resell the service, copy proprietary functionality or reverse-engineer the software except where expressly permitted by us or by non-excludable law.
4.2 Security testing, penetration testing, automated scanning and access to non-public interfaces require our prior written authorisation and an agreed scope. Responsible reporting of an accidentally discovered issue is addressed on our Security page. Reporting an issue is not permission to continue testing.
4.3 Do not upload personal data of a special nature under Qatar law, other legally restricted categories, biometric identification data, full payment-card credentials or unnecessary identity-document copies without our prior written agreement and all required legal permissions. This restriction includes health information and information about children. A construction or HSE workflow does not itself authorise processing such information. Minimise and redact data where possible.
4.4 The service is not a fail-safe safety system or an emergency-response service. You must not use it as the sole control for activities in which a software failure could cause death, injury or serious environmental damage.
5. Customer data, confidentiality and privacy
5.1 You and your relevant licensors retain rights in the documents, drawings, records, images and other material submitted to the service (Customer Data). You grant SkyStruct only the rights reasonably necessary to host, process, transmit, back up, secure and support that material in providing the contracted service. You warrant that your instructions and uploads are authorised and lawful.
5.2 SkyStruct retains its rights in the platform, reusable components, templates, methods and improvements. Customer-specific deliverable ownership is determined by the Order. Feedback may be used to improve the service, but this does not authorise disclosure of your confidential information or reuse of identifiable project data.
5.3 Each party must protect the other's non-public business, technical and commercial information using reasonable care, and use it only for the agreement. Disclosure is limited to people and service providers who need it and are subject to confidentiality obligations. These restrictions do not apply to information lawfully public, independently developed, already lawfully held, or lawfully received without restriction. Legally compelled disclosure must be limited to what is required, with advance notice where permitted.
5.4 The DPA governs personal data processed on your behalf. The Privacy Policy describes processing for which SkyStruct independently determines the purpose, such as its own account administration and business enquiries. Neither this agreement nor continued use of the service constitutes blanket consent to unrelated marketing, sensitive-data processing or international transfers.
5.5 SkyStruct will not sell Customer Data, use it for third-party advertising, or use identifiable Customer Data to train general-purpose or third-party AI models without a separate, express written agreement and any legally required authorisation. Anonymised service statistics may be used only where individuals and confidential customer information cannot reasonably be identified and the anonymisation itself is lawful and authorised.
6. Project decisions, AI and third-party integrations
6.1 SkyStruct provides software, not architectural, engineering, surveying, legal, financial or safety certification. You remain responsible for project decisions, statutory approvals, contractual notices, professional review and legally required recordkeeping. A workflow status, system notification or AI output does not replace an authorised professional decision or a legally required communication method.
6.2 Where AI-assisted features are enabled, outputs may be incomplete or inaccurate. A competent person must review them before consequential use. The applicable processing environment, external providers and permitted use of personal data must be agreed before Customer Data is sent to a new AI provider. Beta features must not be relied on for essential production processes without an express agreement.
6.3 Customer-selected third-party applications are governed by their own terms. Enabling an integration authorises only the data exchange necessary for its agreed operation. You must have the necessary rights and review the recipient's practices. SkyStruct remains responsible for its own integration work and for subprocessors it appoints; third-party disclaimers do not remove those responsibilities.
7. Subscription period, payment and renewal
7.1 The Order specifies the subscription term, billing cycle, fees, currency and payment dates. Billing frequency and contractual commitment are different: instalments or a monthly equivalent do not make a fixed-term subscription cancellable each month. No minimum two-year commitment applies unless expressly agreed.
7.2 Unless the Order states otherwise, subscription fees are payable in advance for each billing period. You authorise recurring payment only where the recurring arrangement is disclosed and accepted. Additional licences or services require an authorised purchase. Taxes, where applicable, are treated as disclosed in the Order; we do not impose a tax merely because it is mentioned in these Terms.
7.3 An automatically renewing subscription renews for the period disclosed when purchased unless cancelled before the applicable deadline. A fixed-term subscription without an agreed auto-renewal provision expires unless renewed by agreement. Where no longer notice period is expressly agreed, a cancellation notice received before the current term ends prevents renewal.
7.4 Changes to renewal charges require at least 30 days' advance notice and enough time to exercise the agreed non-renewal right. A late notice does not remove that right: you may reject the changed renewal before it takes effect. Changes do not retrospectively alter a paid term or a previously agreed fixed-price commitment.
7.5 Notify us promptly of an invoice dispute, identifying the disputed amount and reason, and pay undisputed amounts when due. Before suspending for non-payment, we will give written notice and at least 10 calendar days to remedy an overdue, undisputed amount. We will not suspend solely for a reasonably substantiated dispute being addressed in good faith.
8. Availability and support
8.1 Unless a separate SLA applies, the paid, SkyStruct-managed cloud service has a monthly core-service availability commitment of 99.5%. This commitment does not cover an unsupported deployment, trial or beta environment, or infrastructure operated by you. Availability measures whether the core contracted service is accessible and usable, not whether every optional feature is free from defects.
8.2 Monthly availability is the eligible service minutes minus eligible unavailable minutes, divided by eligible service minutes, expressed as a percentage. Eligible service minutes exclude the excused periods below. If there are no eligible minutes, the measure is not applicable. SkyStruct will maintain records sufficient to assess an availability claim.
8.3 Excused periods are reasonably limited scheduled maintenance; interruptions caused by your systems, instructions or misuse; failures of independently selected integrations; and events genuinely outside SkyStruct's reasonable control. We will seek to give 24 to 48 hours' maintenance notice where practicable. Emergency maintenance may require shorter notice. A failure by an appointed hosting provider is not automatically excused if SkyStruct could reasonably have prevented or mitigated its effect under the agreed service design.
8.4 For a verified failure to meet the commitment, the credit against the affected service's monthly subscription fee is 5% where availability is at least 99.0% but below 99.5%; 10% where it is at least 98.0% but below 99.0%; and 20% where it is below 98.0%. For prepaid longer terms, the relevant monthly equivalent is used. Submit a claim with the affected account and outage details within 30 days after the relevant month ends. An approved credit is applied to the next invoice or refunded if no further invoice is due.
8.5 Credits are the contractual remedy for an availability shortfall alone. They do not exclude remedies for a separate confidentiality, data-protection or other material breach, or non-excludable legal rights. There is no double recovery for the same loss.
8.6 Standard technical support is included with paid subscriptions. Contact the support route supplied with your account or info@skystruct.com. Support coverage, escalation and any committed response or recovery times are those expressly agreed for your service. Dedicated personnel, on-site work and continuous support are not included unless stated in an Order. Support does not provide professional management of your construction project.
9. Warranties and remedies
9.1 Each party confirms that it has authority to enter into the agreement. SkyStruct will provide its services with reasonable skill and care and ensure that the paid service materially conforms to the agreed documentation. Notify us promptly of a reproducible non-conformity and provide reasonable assistance to investigate it. We will correct it or provide an appropriate workaround within a reasonable period, having regard to its severity.
9.2 Where a material non-conformity is not remedied under clause 10.2, you may terminate the affected service and receive the refund described there. No assurance is given that software will be uninterrupted, completely secure, or achieve a particular cost, programme or commercial outcome. These qualifications do not reduce an express warranty, our security obligations, or rights that cannot lawfully be excluded.
10. Suspension, cancellation and termination
10.1 You may cancel renewal under the Subscription and Cancellation Policy. A decision not to continue does not normally end the current commitment or produce a mid-term refund. Simply stopping use, removing users or cancelling a payment method does not cancel the contract.
10.2 Either party may terminate an affected Order for a material breach that remains unremedied 10 calendar days after written notice describing the breach. An irremediable material breach may justify immediate termination to the extent permitted by law. Where you validly terminate for SkyStruct's uncured material breach, SkyStruct will refund prepaid subscription fees attributable to the unused period of the affected service.
10.3 We may temporarily restrict access where reasonably necessary to address an actual security threat, unlawful use or a binding legal requirement. Restrictions must be proportionate. We will give notice and an opportunity to resolve the issue where lawful and practicable, review the need for continued restriction, and restore access when the relevant grounds cease.
10.4 SkyStruct may discontinue a service without customer fault only at the end of a committed term on at least 30 days' notice, unless law requires earlier cessation or continued provision becomes genuinely impossible. If the affected service ends early without your breach, we will refund unused prepaid subscription fees and refund charges for unperformed services that will not be delivered. Accrued claims and mandatory rights remain unaffected.
10.5 On termination or expiry, production access ends and undisputed accrued payment obligations remain due. Termination for your breach does not create a right to accelerate unearned future charges unless an enforceable Order expressly provides for it. Clauses intended to survive, including confidentiality, ownership, outstanding payments, data handling and liability, continue as necessary.
11. Data return and deletion
11.1 You should export required records while your subscription remains active. Following expiry or termination, the default retrieval window is 30 calendar days. During that period, SkyStruct will make Customer Data available through supported export functions or a reasonable assisted export; the window is not a free extension of production access. Necessary return of personal data under the DPA is not conditional on purchasing a renewal.
11.2 Ordinary supported exports are included. Bespoke migration, transformation or extensive assistance requires an agreed scope and fee, without obstructing a statutory right. Restricted access may be necessary where a legal prohibition or a genuine security concern applies; we will seek a secure alternative where lawful.
11.3 Unless a lawful, documented alternative is agreed, SkyStruct will delete active copies within 30 days after the retrieval window ends and remove residual backup copies through secure expiry within 90 days after that window ends. Backup copies are isolated from ordinary use during that period. Legally required retention is limited to the information, purpose and period required by law. The DPA sets out the applicable choice of return or deletion and safeguards.
11.4 Your project completion date does not automatically determine the platform retention period. You remain responsible for statutory construction, employment or commercial records outside the agreed hosting term. Archiving and extended retention require an express agreement.
12. Intellectual-property claims
12.1 SkyStruct will defend a third-party claim that the service, used as agreed, infringes that party's intellectual-property rights and pay damages or a settlement finally awarded or approved by SkyStruct, subject to clause 13. This does not cover a claim caused by Customer Data, unauthorised modification, or a combination or use outside the agreed scope that creates the infringement.
12.2 We may secure continued use, modify or replace the affected element without materially reducing its agreed function, or, where those steps are not reasonably practicable, terminate the affected service and refund unused prepaid subscription fees. You must notify us promptly, allow reasonable control of the defence and provide reasonable cooperation. A settlement imposing an admission, payment or ongoing obligation on you requires your written consent, not to be unreasonably withheld.
12.3 You will defend an equivalent third-party claim arising from Customer Data you supplied without the necessary rights or your unlawful use, to the extent attributable to you, and pay the resulting finally awarded or approved amounts, subject to clause 13. The same notice, cooperation and settlement safeguards apply. Neither indemnity covers a claim caused by the indemnified party's own breach or wrongdoing.
13. Liability
13.1 To the fullest extent permitted by applicable law, neither party is liable for indirect or consequential loss or loss of anticipated profit, revenue, business opportunity or goodwill. Reasonable direct costs of restoring or recovering Customer Data caused by a party's breach are not excluded merely because they relate to data.
13.2 Each party's total aggregate liability arising from an affected Order is limited to the fees paid or payable under that Order for the 12 months immediately before the first event giving rise to the claim. For a shorter contract period, the cap is the fees paid or payable for that period. A separate signed agreement may expressly provide a different allocation.
13.3 These exclusions and limits do not apply to fraud, wilful misconduct, gross negligence, death or personal injury where liability cannot lawfully be limited, infringement or misappropriation of the other party's intellectual property, your obligation to pay agreed fees, or any other liability that applicable law prohibits limiting. They do not restrict an individual's statutory data-protection rights, a regulator's powers, or liability that applicable data-transfer clauses prohibit limiting.
14. Consumers and mandatory rights
14.1 A Customer acting outside its trade, business or profession retains applicable consumer protections. No cancellation, refund, warranty, limitation or governing-law provision is intended to remove a right that cannot lawfully be waived.
14.2 Where Article 57 of Qatar's Electronic Transactions and Commerce Law applies, and no valid alternative arrangement has been expressly agreed, a consumer may rescind an electronically concluded contract within three days, subject to the statutory conditions concerning performance and receipt of use, benefit or value. Where Article 58 applies and no different performance period was agreed, a delay exceeding 30 days may give the consumer a termination and refund right for the affected performance. Contact us promptly to exercise an applicable right; the general no-mid-term-refund rule does not override it.
15. General provisions and contact
15.1 Qatar law governs the agreement and the courts of the State of Qatar have jurisdiction, subject to mandatory consumer protections, statutory data-subject rights and any mandatory forum provisions in an applicable data-transfer instrument. The parties will attempt good-faith resolution of a notified dispute without preventing urgent relief or causing a legal deadline to be missed.
15.2 Neither party is liable for a failure caused by an event beyond its reasonable control that it could not reasonably prevent or mitigate. The affected party must notify the other and take reasonable mitigation steps. If the affected service remains unavailable for more than 60 consecutive days, either party may terminate it; unused prepaid fees for services that will not be delivered will be refunded. This clause does not excuse failure to maintain agreed security or recovery measures.
15.3 Neither party may transfer the agreement without consent, not to be unreasonably withheld, except as part of a genuine corporate reorganisation or transfer of the relevant business to a successor that assumes the obligations and does not materially reduce the other party's protections. Any change affecting personal-data processing remains subject to the DPA.
15.4 Materially adverse changes to these Terms apply at renewal, after at least 30 days' notice and a reasonable opportunity not to renew, unless you expressly agree otherwise. A change required by law may take effect earlier to the extent necessary. Previously accrued rights and existing negotiated contracts are not retrospectively altered by a website update.
15.5 The agreement is the complete agreement on its subject matter. A waiver must be explicit; an unenforceable provision does not invalidate the remainder. The parties are independent contractors. Third-party rights exist only where expressly provided or required by law, including rights under applicable data-transfer clauses. The English text is the contractual text, subject to any mandatory language requirements.
15.6 Send contractual notices to info@skystruct.com with your organisation, account reference and the subject “Legal notice”. A cancellation may use the route in the Subscription and Cancellation Policy. Notices sent to the designated email are effective when received in an accessible form; our acknowledgement is not a condition of a timely notice. Keep your designated account email current. Our postal contact is SkyStruct QSTP-LLC, Qatar Science & Technology Park, Doha, Qatar.
